This site is operated by Xtra-vision Entertainment Limited, Greenhills Road, Tallaght, Dublin 24 (company number 526619) ("Xtra-vision") for your personal information and communication. Please read the following terms & conditions of use carefully before using the site. For the purposes of the terms & conditions of use "we", "our" and "us" refers to Xtra-vision and words such as "you" and "your" mean you. Access to and use of the site is subject to these terms & conditions of use and all applicable laws. By accessing and browsing the site, you accept, without limitation or qualification, these terms & conditions of use. If you do not accept such, please leave this site immediately.

Registration

You may access most areas of the site without registering your details with us but certain areas are only open to you if you register. Registration is for a single user only and you may not share your user name and password with any other person. Responsibility for the security of your passwords rests with you.

Site materials

You may download material displayed on the site for non-commercial; personal use only provided you also retain all copyright and other proprietary notices contained on the materials. You may not, however, distribute, modify, transmit, reuse, re-post, or use the content of the site for public or commercial purposes, including the text, images, audio, and video without Xtra-visions prior written permission.

Unless otherwise stated, the copyright and other intellectual property rights in the site and in all material on the site are owned by Xtra-vision or its licensors. All rights are reserved.

Any use of extracts from the site other than in accordance with these terms & conditions of use for any purpose is prohibited. If you breach any of the terms of the terms & conditions of use, your permission to use the site automatically terminates and you must immediately destroy any downloaded or printed extracts from the site. Xtra-vision neither warrants nor represents that your use of materials displayed on the site will not infringe rights of third parties not owned by or affiliated with Xtra-vision.

 

Images of people or places displayed on the site are either the property of, or used with permission by, Xtra-vision. The use of these images by you, or anyone else authorized by you, is prohibited unless specifically permitted by these terms & conditions of use or specific permission provided elsewhere on the site. Any unauthorized use of the images may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes.

Intellectual property rights

The trademarks, logos, and service marks (collectively the "trademarks") displayed on the site are the registered and unregistered trademarks of Xtra-vision, its affiliated companies and third parties who have granted Xtra-vision rights to display their copyright material and registered trademarks. Nothing contained on the site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark displayed on the site without the written permission of Xtra-vision or such third party that may own the trademarks displayed on the site. Your use of the trademarks displayed on the site, or any other content on the site, except as provided in these terms & conditions of use, is strictly prohibited. You are also advised that Xtra-vision will enforce its intellectual property rights to the fullest extent of the law, including seeking criminal prosecution.

Your conduct

You agree:

(a) to comply with all of our reasonable requests or instructions in relation to the use of the site;

(b) to comply with all requests or instructions of any authorised authority in relation to the use of the site or the internet in general or for the investigation of any alleged offences;

(c) to abide by all applicable laws and regulations (including copyright and intellectual property protection laws);

(d) to abide by all applicable laws and regulations (including copyright and intellectual property protection laws);

(e) not to distribute, download, upload or transmit any material which contains viruses, Trojan horses, worms, time bombs, cancel-bots, or any other harmful or deleterious programmes;

(f) not to attempt to gain unauthorised access to or interfere with this site, other users, computer systems or connected networks;

(g) not to disguise the origin of any transmitted communication or impersonate any other person or entity;

(h) to notify us immediately of any breach of security or any claim or legal proceedings against you relating to your use of the site; and

(i) not to post or transmit to or from the site any material that is threatening, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance or inconvenience; or for which you have not obtained all necessary licences and/or approvals; or which constitutes or encourages conduct that would be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party, in any country in the world. Xtra-vision will fully cooperate with any authorities or court order requesting or directing Xtra-vision to disclose the identity of anyone posting any such information or materials.

Suspension/termination

Xtra-vision does not monitor or review discussions, chats, postings, transmissions, bulletin boards, and the like on the site and assumes no responsibility or liability arising from the content of any such locations nor for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger, or inaccuracy contained in any information within such locations on the site. Xtra-vision may however suspend or terminate your access to the site wholly or partially and with or without notice for any valid reason including, without limitation where:

(a) you fail to observe or perform any obligation set out in these terms & conditions of use or the online store terms & conditions, any relevant law, licence, regulation, directive, code of practice or applicable usage policy; or

(b) you fail to pay us any sums due to us; or

(c) you supply us with false, misleading or inaccurate information at any time; or

(d) we suspend or discontinue the site.

where we exercise any of the rights or powers of suspension/termination such exercise shall not prejudice or affect the exercise of any other right, power or remedy which may be available to us. We shall not be liable to you or any third party for any suspension or termination of your access to or use of the site.

Your materials

While we are always happy to hear from you, it is Xtra-visions policy not to accept or consider creative materials, ideas, or suggestions other than those we specifically request. This is to avoid any misunderstandings if your ideas are similar to those we have developed independently. Therefore we must request that you do not send to us any original creative materials such as original artwork, etc. Any communication or material you do transmit to the site by electronic mail or otherwise will be treated as non-confidential and non-proprietary. Xtra-vision shall have no obligations with respect to such material but anything you transmit or post may be used by Xtra-vision or its affiliated companies for any and all commercial or non-commercial purpose, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast and posting. Furthermore, Xtra-vision is free to use any ideas, concepts, know-how, or techniques contained in any communication you send to the site for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products using such information.

Indemnity

You agree to indemnify, defend and hold Xtra-vision and its affiliated companies, and their respective officers, directors, owners, agents, information providers and licensors (collectively, the "indemnified parties") harmless from and against any and all claims, liability, losses, costs, demands and expenses (including legal costs and fees) incurred by any indemnified party in connection with any breach by you of these terms & conditions of use. Xtra-vision reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Xtra-visions defence of such claim.

Disclaimer

Your use of and browsing in the site are at your risk. While Xtra-vision uses reasonable efforts to include accurate and up to date information in the site, Xtra-vision makes no warranties or representations as to its accuracy or completeness nor does Xtra-vision assume any liability or responsibility for any errors or omissions in the content of the site.

The site is provided "as-is" and "as available" basis without any conditions, warranties or other terms of any kind. Accordingly all representations, conditions, warranties, undertakings, obligations and other terms expressed or implied by statute, common law, course of dealing or otherwise, are excluded to the fullest extent permitted by law including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement of third party rights. Liability

Unless otherwise stated, Xtra-vision or any other third party or affiliated Xtra-vision company involved in creating, producing, or delivering the site shall not be liable for any losses (including indirect loss, consequential loss, loss of use, data, profits or revenue, business, contracts or anticipated savings), damages (other than for death or personal injury caused by our negligence), costs or expenses arising out of or in any way connected with your use of the site and whether based in contract, tort, or otherwise, even if we or any of our suppliers have been advised of the possibility of such losses, damage, costs or expenses. Further and without prejudice to the foregoing, Xtra-vision assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect, your computer equipment or other property on account of your access to, use of, or browsing in the site or your downloading of any materials, data, text, images, video, or audio from the site.

Access to site from outside Northern Ireland and the Republic of Ireland

Xtra-vision may at any time revise these terms & conditions of use by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the then current terms & conditions of use to which you are bound.

Severance

If any part of these terms & conditions of use is determined to be invalid or unenforceable pursuant to applicable law, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these terms & conditions of use shall remain in effect.

Entire agreement

These terms and conditions of use and the privacy statement constitute the entire agreement between the parties relating to the use of the site and shall not be modified except in writing, signed by Xtra-vision.

Governing law

This site is intended solely for use by residents of Northern Ireland and the Republic of Ireland. These conditions are governed by the laws of the republic of ireland and we and you submit to the non-exclusive jurisdiction of courts of the republic of Ireland.

Products - general

All release dates and certifications are correct at time of going to print and may be subject to change.

All value added offers are valid while stocks last and are subject to availability.

Offers advertised on the site may not be available in all stores and store prices and stock may vary from those advertised.

For parents concerning privacy

Xtra-vision requires children to consult with their parents before furnishing any data. All multimedia content on the site retain their original copyright as owned by their respective production companies. Online Product Sale Terms and Conditions

1. Age Restriction

You must be at least 18 years old to order products on the Site.

You are not permitted to buy an age-restricted product if you are under the age limit specified for that product. If you are ordering for any other person, it is your responsibility to ensure that the intended recipient is of the appropriate age to view and use the product. If a child watches or uses an age-restricted title when they are not of the relevant age, they may become upset by the content of such title. Xtra-vision urges you to act responsibly when choosing products for use by others.

2. Prices & Product Information

The prices payable for the products that you order are clearly set out on the Site. All prices are expressed inclusive of any VAT payable. Delivery charges may apply to orders, if charges are applicable for delivery of the products; you will be informed before your order is accepted.

Every effort is made to ensure that prices shown on the Site are correct. In the unlikely event that an error is made in the price shown on the Site, We will not be obliged to supply the product to you at the stated price. In those circumstances, we will not dispatch the item but will notify the correct price to you so you can decide whether to proceed with your order at that price.

Where products are offered on the Site prior to general release, the price shown for those products will be an estimate that is subject to change. Where the prices for pre-released products that you have ordered do change, we will notify the correct price to you so you can decide whether to proceed with your order at that price.

3. Availability

Items that are currently in stock will be clearly indicated on the Site. However, occasionally we may be unable to supply a particular item despite it being shown as in stock on the Site. If this happens, we will notify you as soon as possible.

4. Acceptance

There will be no contract between you and Xtra-vision unless and until you receive confirmation from Xtra-vision that the product(s) that you have ordered are being dispatched. Your order is an offer to buy from Xtra-vision. Nothing that Xtra-vision do or say (including receiving payment from you in accordance with your offer) will amount to any acceptance of that offer until we actually confirm that the product(s) are being dispatched.

At the moment that the products are dispatched (and not before), a contract will be made between you and Xtra-vision for the sale by Xtra-vision, and purchase by you, of the ordered product(s). At any point up until then, Xtra-vision may decline to supply the product(s) to you.

5. Delivery

We shall deliver the products to the delivery address that you supply when ordering.

We aim to deliver your order to you in one single delivery (subject to availability) and as quickly as is possible. Most products will be posted to you within 2 working days of receiving your order. We will advise you by email if there is likely to be a delay in dispatching your order. The products will normally be posted to you by An Post, but Xtra-vision may use a courier if you have ordered a large or valuable product. Alternative methods of delivery may be available on the Site for you to select when you order a product.

Any times or dates stated on the Site for delivery are estimates only. We will make all reasonable efforts to deliver products within the time specified and, other than in the case of pre-orders or where we notify you that we are awaiting stock, this should be within 30 days of your order being acknowledged. We do not accept responsibility for failure to deliver within that time if it is for a reason that is outside of Xtra-visions control.

Ownership of the products that you order will not pass to you until we have delivered the product. When a product is delivered, risk of damage to, or loss of, the product passes to you.

6. Cancellation

You may cancel your order at any time before it is dispatched by contacting customer service here.

If you have taken delivery you must contact Xtra-vision within 7 working days of receipt to organise a return and refund – for details on our return and refund processes, please see the 'Returns' section at paragraph 7, below.

If you do not return the product(s) within 30 days of your notice of cancellation (whether such notice is given under this paragraph 6 or under paragraph 7) then, after our reasonable attempts to recover the product(s), you will be deemed to have accepted the product(s).

7. Returns

We hope you will be happy with your purchase but should you wish to return any product

1. within the 7 working day cancellation period (as set out in paragraph 6,above), for any reason, or
2. within 30 days of dispatch to you if the items are damaged when delivered, defective or faulty,

please contact Xtra-vision Customer Care here and you return the relevant product to us in accordance with the returns processes set out below, we will either refund the cost of the relevant product to you or, if appropriate, replace or repair the relevant product. We may not accept a return where the reason for the return is your misuse of the product. This does not affect your statutory rights.

Returns process:  All products

1. If you wish to return a product within the periods set out above, please inform us that you wish to do so. If you wish to return a product because it is faulty, arrived damaged, or was sent to you in error, please let us know at that time.

2. You will then be provided with a returns reference number, and instructions on how and where to return the relevant product to us. You will be responsible for the costs of returning the relevant product to us  – this does not affect your statutory rights if you wish to return a product that is faulty, arrived damaged or was sent to you in error.

 

3. Please send the relevant product to the notified address and marked with the reference number  we provide to you as soon as is possible and, in any event, in time to be received by us within 30 days of your cancellation notice. We recommend that you obtain proof of postage for all returned products as we are not responsible for the non-delivery of products to Us.

4. You are required to take reasonable care of products that you wish to return at all times. Please ensure all products are returned in undamaged and original packaging, with all parts and manuals.

5. Products bought from the Site cannot be returned to an Xtra-vision store.

 

In addition to the above returns process, some products may be subject to additional rules, as set out below:

Returns process: Games, Music, and Video

In addition to the general rules and processes set out above, the following applies to all audio or video recordings (including DVDs and Blu-ray products) and software products:

1. Non-faulty products: The product must be returned with the original packaging intact and sealed.

2. Faulty products: Where the product is returned unsealed, as a result of licensing restrictions you may only be entitled to an exchange for the same title (in the same format) .

Returns process: Promotional offers

Returns of multi-buy or promotional offers may be subject to special conditions. You may be required to return all of the products ordered under a promotion to obtain a refund for a promotional product, or you may only be able to exchange a promotional product for a replacement or alternative product falling within the promotion.

8. Payment

We request payment as set out on the Site. Your credit/debit card details will be encrypted to minimise the possibility of unauthorised access or disclosure. Authority for payment must be given at the time of order. You will not be charged for items until they are dispatched and, for this reason, please ensure that the expiry date of your payment card is after the anticipated dispatch date - failure to do so may mean that We will be unable to fulfil your order.

 

Our liability to you in connection with any order will not exceed the total price charged for the relevant items.

9. Validation Checks

All credit / debit card holders are subject to validation checks and authorisation by the card issuer. If the issuer of your payment card refuses to authorise payment to Us, We will not be liable for any delay or non-acceptance of orders. We reserve the right to require further proof of identification, including proof of age, if an order is placed using a debit card.

11. Our Liability and Responsibility to You

We promise that all products purchased through the Site will correspond with their relevant description on the Site, and that they will be of satisfactory quality and fit for non-commercial, domestic use in the Territory as described in the manufacturer's specification. We also promise that we will carry out our responsibilities with reasonable skill and care. We do not make any other promises or warranties about the products, or our performance of the responsibilities assigned to us in these Terms.

Save in the case of death or personal injury due to our negligence or where we have acted fraudulently, Our total liability to you for any losses suffered by you will be limited to either the amount paid by you for the purchase of the relevant product, or to the provision of a replacement of the product concerned (where the original is returned to us).

We accept no responsibility for any loss or damage caused by s (or our employees, agents or sub-contractors) where such loss is: a) not a foreseeable result to both you and us (as at the time that you submit your order) of a breach of the relevant legal duty by us; b) related to a business; or, c) related to loss or damage to premises or property unless caused by Our negligence or wilful misconduct.

The above limitations on our liability do not affect your non-excludable statutory rights as a consumer.

You are responsible for the use of products that you obtain from Us. We exclude all liability to the extent permitted by law, for any costs, losses or damages resulting from or related to your use or attempted use of the products in countries outside the Territory.

Except in respect of a payment obligation, neither of us will be liable to the other for any failure to perform any obligation owed to the other due to causes beyond its reasonable control, for example, industrial disputes, fire, storms, failings of the internet or public communications networks, or technical difficulties.

12. Your Further Obligations to us

You agree that you will not use the products for any commercial or illegal purpose or for any other purpose prohibited by these Terms or by the manufacturer's specifications.

You agree to abide by the terms of any copyright notice contained on any DVD, game, software or other product, for example, the prohibition on a) copying any games or DVDs; b) renting or otherwise supplying games or DVDs to third parties; or c) allowing minors to view unsuitable material. You must ensure that the health of viewers will not be adversely affected by the viewing of titles that you purchase (for example, epileptics watching films or games containing strobe lighting).

If you breach these Terms your permission to use the Site terminates immediately. We may also suspend or cancel your right to use the Site at Our discretion if we deem it appropriate. Any termination or suspension of your use of the Site will not affect either your or our responsibilities to each other. We shall not be liable for any loss or damage from the illegal, incorrect or inappropriate use of the Site or the products purchased through the Site by you or anyone else.

13. Waiver and Severance

Any failure, or delay by us in exercising any right or remedy under these Terms shall not prevent Us from being able to enforce that, or any other, right or remedy at a later time. If any provision of these Terms is held to be invalid or unenforceable by any court or other competent authority, all other provisions will remain in full force and effect.

14. Assignment

You agree that we may assign any of our rights and/or transfer, sub-contract or delegate any of our obligations under these Terms. Where we do so, we will take steps to ensure that it does not affect your ability to rely on the rights that you may have under these Terms. These Terms are personal to you and are entered into by you for your own benefit and not for the benefit of any third party – you may only transfer or assign your rights under these Terms with Our prior consent, which we will not unreasonably withhold.

15. Variation of these Terms

In the event that we alter these Terms We shall take all reasonable and appropriate steps to make you aware of such changes, for example, by prominently displaying the amended version on the Site. If you do not agree to the amended Terms, please do not continue to order or purchase products from the Site.

16. Inconsistencies

In the event of any conflict between these Terms and the Web Site Terms and Conditions, these Terms shall prevail to the extent that such conflict relates to the sale of products on the Site.

17. Notices

All notices shall be given:

1. to Us via post addressed to the Customer services, Xtra-vision support office, Greenhills retail park, Greenhills road, Tallaght, Dublin 24, Republic of Ireland
2. to you at either the e-mail or postal address you provide during any registration or ordering process or by Us publishing relevant information on the Site.

Notice will be deemed received either when an email is received in full (or else on the next business day if it is received on a weekend or public holiday in the place of receipt), three days from the date of posting where any notice is posted, or immediately upon publication of any relevant information on the Site.

18. Governing Law

These Terms are governed by and are to be construed in accordance with Irish  law. You agree that the courts of Ireland shall have the exclusive jurisdiction to settle any dispute which may arise out of or in connection with these Terms.

 

Xtra-vision Membership Terms and Conditions of Rental

 You agree to abide by Xtra-vision’s rental Terms and Conditions as set out below.

Below explains the uses and disclosures that may be made of your personal data by Xtra-vision. Please also take particular care to complete the marketing preferences options in the sign up process.

Ownership

All rental items, (DVDs / Blu-ray discs / Games / Box-sets, etc.) including their covers remain the property of Xtra-vision at all times.

Intellectual Property

The intellectual property rights (e.g. copyright, design rights, trademarks, etc.) in the items which you rent from Xtra-vision are owned by third parties. As such, all items are rented to you for your private domestic use and/or viewing only and the making or disseminating of any copies of rental items is strictly prohibited. You agree to indemnify and hold Xtra-vision harmless against all losses, damages and expenses which it may incur as a result of your breach of the provisions of this condition.

Responsibility

All items rented are your responsibility until returned, accepted and acknowledged by Xtra-vision staff. This includes responsibility for theft, loss or damage whether in transit to or from Xtra-vision or in normal usage. You will be liable for the replacement cost of the item(s) and also any extra night charges until the item(s) are reported lost / stolen or damaged to Xtra-vision. The replacement value of any item shall be decided exclusively by Xtra-vision.

Performance of rental items

Xtra-vision will endeavour to ensure that all rental items are reasonably fit for the purpose for which such items are ordinarily used.  Xtra-vision does not guarantee, however, that the performance of such items will be uninterrupted or error-free. Save as expressly provided in these Terms and Conditions, all rental items are provided “as-is” and all other terms,  express or implied, in relation to the quality and fitness for purpose of items rented is hereby excluded by Xtra-vision to the greatest extent permitted by law.

Membership Card

Your Membership Card can be used in any Xtra-vision store throughout Ireland . On the first visit to an additional store please bring one form of positive I.D. in addition to your membership card.

Your Membership Card must be presented whenever you wish to rent. Should your Membership Card be lost or stolen at any time, Xtra-vision must be notified immediately as you shall be responsible for all items rented, and all charges incurred, as a result of any improper usage of the Card. You have sole responsibility for the safekeeping of your Card.

Should you change address or if any other details change, please notify Xtra-vision immediately.

Rental Membership

You are responsible for the return of all rented items. There are various rental periods but all items should be returned by 8.30pm on the day of return. If you fail to return an item within the agreed rental period, extra night charges may apply.

If any item has not been  returned  within 2 days of the due date,  Xtra-vision will contact you by e-mail, mobile text, phone  or ordinary letter, to the last phone  number,  e-mail or postal address given by you to Xtra-vision, to arrange  return of the item(s). If the item(s) remain unreturned for a period exceeding 10 days, Xtra-vision may charge you with the replacement value of the item(s).

All items must be returned to the store from which they were rented.

Right of Refusal

Xtra-vision may refuse to rent items to you.  In this case, such a refusal will be at the absolute discretion of Xtra-vision and in such event, Xtra-vision will not be required to state  any reasons for the refusal.

Family membership

Where you have opted for family membership, the person signing the form on behalf of other family members shall be solely responsible for ensuring that all other family members are made aware of and agree to comply with these  Terms and Conditions and any other conditions  governing family membership of which you have been  notified. The person signing the family membership form shall be responsible for any breach of the applicable terms by any other family member.

Account closure

You may close your account at any time by giving written notice in your nearest Xtra-vision store or writing to us at Customer services, Xtra-vision support office, Greenhills Retail Park, Greenhills road, Tallaght, Dublin 24, Republic of Ireland. You will be required to discharge all outstanding fees on your account prior to closure.  Xtra-vision reserves the right to close your account on written notice by e-mail or post in circumstances where, in its absolute discretion, Xtra-vision considers that you have failed to comply with these Terms and Conditions.

Variation of Terms and Conditions

Xtra-vision reserves the right to amend these Terms and Conditions from time to time. In such circumstances it shall give you written notice of the changes a reasonable period in advance of them becoming effective. If you continue to use our services after the effective date you will be deemed to have accepted the changes.

Governing law

These Terms and Conditions shall be governed by law and the courts of the United Kingdom shall have exclusive jurisdiction for the resolution of any disputes arising under these Terms and Conditions.
